Version 1.0
Thank you for your interest in contributing to OpenGTM (the "Project"), which is owned and maintained by Yupcha Softwares Private Limited ("Yupcha"). This Contributor License Agreement (the "Agreement") sets out the rights you grant to Yupcha in your Contributions. It is a licence, not a transfer of ownership: you keep the copyright in your Contributions.
If you are contributing on behalf of your employer or another entity, that entity must also sign the Corporate CLA.
"You" means the individual who submits a Contribution and accepts this Agreement.
"Contribution" means any original work of authorship, including any modification of or addition to an existing work, that You intentionally Submit to Yupcha for inclusion in the Project.
"Submit" means any form of communication sent to Yupcha or its representatives, including pull requests, patches, issue comments and emails, made for the purpose of discussing or improving the Project. It excludes communication that You conspicuously mark "Not a Contribution".
You grant Yupcha, and recipients of software distributed by Yupcha, a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable licence to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense and distribute Your Contributions and such derivative works.
This licence includes the right for Yupcha to license Your Contributions under any licence terms, including the GNU Affero General Public License, other open source licences, and proprietary or commercial licences.
You grant Yupcha, and recipients of software distributed by Yupcha, a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent licence to make, have made, use, offer to sell, sell, import and otherwise transfer the Project. This licence applies only to patent claims You can license that are necessarily infringed by Your Contribution alone or by its combination with the Project as it stood when You submitted it.
If any entity starts patent litigation against You or any other entity (including a cross-claim or counterclaim) alleging that Your Contribution, or the Project to which You contributed, infringes a patent, every patent licence You granted to that entity under this Agreement ends on the date the litigation is filed.
You keep all right, title and interest in Your Contributions. Apart from the licences in sections 2 and 3, You reserve all rights. You may use Your Contributions for any other purpose.
Any Contribution that Yupcha includes in the Project's public source release will be made available in that release under the GNU Affero General Public License v3.0 or another licence approved by the Open Source Initiative.
You represent that:
- You are legally entitled to grant the licences in this Agreement.
- Each Contribution is Your original creation, or You have the right to Submit it under this Agreement.
- If Your employer, or anyone else, has rights to intellectual property You create, You have permission to make Contributions on their behalf, or they have waived those rights for Your Contributions, or they have signed the Corporate CLA.
- If You Submit work that is not Your original creation, You identify it as such, together with its source and any licence or other restriction You know of, separately from Your own work.
- Your Contribution does not, to Your knowledge, infringe the rights of any third party.
You agree to tell Yupcha promptly if any of these statements stops being accurate.
To the extent permitted by applicable law, You agree not to assert any moral rights in Your Contributions against Yupcha or recipients of the Project, in a way that would prevent the exercise of the licences in this Agreement.
Yupcha is not obliged to use or include any Contribution. You are not expected to provide support for Your Contributions, unless You choose to. Unless required by applicable law or agreed in writing, You provide Your Contributions "AS IS", without warranties or conditions of any kind, including warranties of title, non-infringement, merchantability or fitness for a particular purpose.
This Agreement applies to all Contributions You have Submitted to the Project in the past and to all Contributions You Submit in the future.
This Agreement is governed by the laws of India. The courts with jurisdiction over Yupcha's registered office have exclusive jurisdiction over any dispute arising from it.
If any provision of this Agreement is held unenforceable, the rest of it remains in effect.
Sign this Agreement once, before your first pull request is merged. The CLA check on your pull request links to the signing page. Your signature covers all of your past and future Contributions to the Project.
